Terms of Service
This is the agreement between you and ShipGenius for use of our parcel-invoice audit, carrier-contract intelligence, and Genie chat services. We've written it in plain English where we can. If something here is unclear, write to support@shipgenius.ai and we'll explain it before you accept.
1. Agreement to these Terms
By creating an account, accessing the dashboard, or using any part of ShipGenius, you agree to these Terms of Service (the "Terms"). If you're accepting on behalf of a company, you confirm that you have authority to bind that company to these Terms, and "you" means both you and the company.
ShipGenius is invite-only during our launch period. You may only create an account if we've explicitly invited you or your organization. If you accessed the product without an invitation, please write to hello@shipgenius.ai before continuing.
2. What ShipGenius does
ShipGenius reads your parcel-carrier invoices and contracts to surface where your shipping spend isn't being applied correctly. The product includes:
- Automated audit of every line of every parcel invoice you upload or connect to us (the Genie check).
- Parsing and structured representation of your master carrier agreements and amendments.
- Effective-discount and tier-progress reporting against the rates the carrier publishes and the rates your contract entitles you to.
- A monthly executive summary delivered to your inbox and a conversational Genie chat surface for follow-up questions about your own data.
ShipGenius does not file refund claims with carriers on your behalf, negotiate your contracts, or take possession of your shipments. Higher-touch services along those lines may be available on dedicated tiers — see /pricing for current availability.
3. Launch period and pricing
ShipGenius is currently in a launch period. During the launch period:
- All tiers are free. We do not collect payment information.
- No invoices are issued and no charges are made to any payment method.
- You can change tier, downgrade, or close your account at any time.
The launch period ends when ShipGenius enables paid subscriptions, at which point we will notify you at least 30 days in advance with the price of your current tier and the option to keep your current plan, change tier, or close your account. We will not auto-charge you. You will explicitly opt in.
We are not committing to a launch-period end date in these Terms. We reserve the right to extend or shorten the launch period; in either direction we will give 30 days' notice before any change to your costs.
4. Your account
ShipGenius accounts use passwordless email sign-in (a magic link sent to your registered email address). You are responsible for keeping access to that email address secure. If you lose access to your email, contact us to recover the account.
You may invite other people from your organization. The account owner is responsible for actions taken by anyone they invite. If an employee leaves your organization, you are responsible for removing their access from the dashboard's settings area.
5. Your data
You own the data you upload to ShipGenius, including your invoice files, shipment data, contract PDFs, and any chats you have with the Genie. ShipGenius's right to use that data is limited to what is necessary to provide the service to you and to maintain and improve the service.
We do not sell your data. We do not share your data with carriers, competitors, or other customers. We use sub-processors to host, store, transmit, and process your data on our behalf — the full list lives at /subprocessors and is governed by our Privacy Policy.
You can export the data you've put into ShipGenius at any time through the dashboard's export controls or by writing to support@shipgenius.ai. We will help.
6. Carrier credentials
Some ShipGenius features require us to call your parcel carrier on your behalf — for example, to download invoices from a carrier portal, or to read your account's rate card via a carrier API. When this is needed, you authorize and instruct us to use credentials you provide solely for that purpose.
We treat carrier credentials with extra care. They are stored using envelope encryption (an industry standard where the key that encrypts the data is itself encrypted by a master key kept in a separate secrets manager). They are decrypted only at the moment of use, by a system process, never by a human at ShipGenius. You can revoke any credential at any time from the dashboard's connections page — the credential is wiped from our systems within 24 hours.
You confirm that you have the right to give us these credentials, that providing them to us does not violate your carrier's terms of service, and that you will revoke them if any of those conditions change.
7. Acceptable use
Don't use ShipGenius to do anything illegal. Beyond that, please don't:
- Reverse engineer, decompile, or attempt to extract the source code of the product except as expressly permitted by law.
- Upload data you don't have the right to share — including another company's invoices or contracts, personal information you weren't authorized to collect, or anything that would violate a non-disclosure obligation.
- Use the Genie chat or automated APIs to scrape the platform, harvest analytics about other ShipGenius customers, or otherwise impersonate the service.
- Use the product to harass, defame, or harm carriers, other customers, or any individual.
- Resell, sublicense, or provide ShipGenius services to a third party without our written consent.
If you discover a security vulnerability, please disclose it responsibly to security@shipgenius.ai. We won't take legal action against good-faith security research.
8. Intellectual property
ShipGenius owns the platform, including all software, designs, documentation, the ShipGenius name and logos, and any improvements we make based on aggregated, anonymized usage patterns. These Terms do not transfer any of those rights to you.
You own your data and any feedback you choose to share with us. By sharing feedback, you grant us a non-exclusive, royalty-free license to incorporate that feedback into the product without obligation to you.
9. Confidentiality
We treat your business information — including your shipping volume, contract terms, and audit findings — as confidential. We will not disclose this information to anyone outside ShipGenius except (a) our sub-processors, who are bound by similar confidentiality terms, (b) where required by law, and (c) where you've explicitly told us to share it (for example, with your carrier when you authorize us to file a recovery claim on your behalf).
You agree to treat information about the ShipGenius product that isn't public — including its pricing, internal mechanics, and any preview features you may see — with the same confidentiality you would expect from us.
10. Service availability
We work hard to keep ShipGenius available, but during the launch period we do not provide a service-level agreement (SLA). The product may experience scheduled maintenance, unscheduled outages, or temporary degradation. If any of these would materially affect your use, we will let you know via email or via a banner on the dashboard.
SLAs may be offered as part of future paid tiers. Until then, we provide ShipGenius "as available."
11. Suspension and termination
You may close your account at any time from the dashboard or by writing to support@shipgenius.ai. On closure we will, within 90 days, delete or anonymize your data except where we are legally required to retain it.
We may suspend or terminate your account if you:
- Violate these Terms or our Acceptable Use policy in a material way.
- Engage in activity that creates a security, legal, or operational risk for ShipGenius or other customers.
- Fail to pay invoices once the launch period ends and you have explicitly opted into a paid tier.
Where reasonably possible, we will notify you of a suspension or termination decision before we act, with an opportunity to address the issue.
12. Disclaimers
ShipGenius is provided "as is" and "as available." We do not warrant that the product will be uninterrupted, error-free, or that any data we surface will be perfectly accurate. The audit findings and effective-discount calculations ShipGenius produces are intelligent estimates designed to help you decide whether to investigate further — they are not a substitute for your own financial review or for the legal review of your carrier contracts.
To the maximum extent permitted by law, ShipGenius disclaims all implied warranties, including merchantability, fitness for a particular purpose, and non-infringement.
13. Limitation of liability
To the maximum extent permitted by law, neither party is liable for indirect, incidental, consequential, special, or exemplary damages — including lost profits, lost revenue, or lost data — arising out of or in connection with these Terms.
For any direct damages, each party's total liability is limited to the greater of (a) the amounts you have paid ShipGenius in the 12 months preceding the event giving rise to liability, or (b) one hundred U.S. dollars (US$100). During the launch period, when you have paid us $0, the $100 floor applies.
These limits don't apply to (i) breaches of confidentiality, (ii) indemnification obligations, or (iii) anything law says they can't apply to.
14. Indemnification
You agree to indemnify and hold ShipGenius harmless against any third-party claim arising out of (a) your use of the product in violation of these Terms, (b) data you uploaded that you did not have the right to upload, or (c) your violation of any applicable law in connection with ShipGenius.
ShipGenius will indemnify you against any third-party claim that your use of the ShipGenius product (as we delivered it) infringes that third party's intellectual property rights, except where the claim arises from your modification or misuse of the product.
In each case, the indemnifying party gets to control the defense and settlement, and the other party will cooperate reasonably.
15. Changes to these Terms
We may update these Terms as the product evolves. When we do, we will (a) update the "last updated" date at the top, and (b) notify you of material changes by email or by an in-dashboard banner at least 30 days before they take effect, except where a shorter notice period is required by law or by a security concern.
Continuing to use ShipGenius after a change to the Terms means you accept the change. If you don't accept the change, close your account before the change takes effect.
16. Governing law and disputes
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws rules. The federal and state courts located in Delaware have exclusive jurisdiction over any dispute arising from these Terms or your use of ShipGenius, and you and we each consent to the personal jurisdiction of those courts.
Before filing a formal claim, both parties agree to make a good-faith effort to resolve the dispute through written notice to legal@shipgenius.ai and a 30-day informal-discussion period.
17. Other terms
These Terms are the entire agreement between you and ShipGenius on the subjects they cover, and supersede any prior agreements. If any part of these Terms is found unenforceable, the rest remains in effect. Failure to enforce a provision isn't a waiver of the right to enforce it later.
You may not assign these Terms without our written consent. We may assign these Terms in connection with a merger, acquisition, or sale of substantially all our assets, provided the assignee agrees to be bound by them.
